reLocal Master Terms of Service

These Terms of Service ("Terms") govern access to and use of the reLocal marketplace platform located at relocal.ai, including all related services, features, tools, and content (the "Platform"), operated by reLocal LLC ("reLocal," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms and the reLocal Privacy Policy.

Important Notice

These Terms include a binding arbitration agreement and class action waiver that affect your legal rights. Please read them carefully.

1. Acceptance of Terms

You must be at least eighteen years old and have legal capacity to enter into these Terms. By creating an account or using the Platform, you represent and warrant that you meet these requirements.

2. Changes to Terms

reLocal may modify these Terms at any time. Updates will be posted with a revised effective date and may be communicated by email or platform notice. Your continued use of the Platform after such updates constitutes acceptance of the revised Terms.

3. Accounts and Eligibility

3.1 Account Creation

Certain features of the Platform require account registration. You agree to provide accurate, current, and complete information and to maintain the security of your account credentials. You are responsible for all activity conducted through your account.

3.2 Account Types

Account roles may include Buyer, Seller, Agent, or administrative access. Access to role specific features may require approval.

3.3 Suspension and Termination

reLocal may suspend or terminate accounts at its discretion, including for violations of these Terms, fraudulent activity, or conduct harmful to the Platform or other users.

4. Platform Role and Structure

reLocal operates as a technology platform and marketplace facilitator. reLocal does not take ownership of listed items and is not a party to the final sale agreement between Buyers and Sellers.

5. Listings, Content, and AI Assisted Features

5.1 User Content

Users are responsible for all content they submit, including photos, descriptions, measurements, condition representations, and availability information.

5.2 AI Assisted Listing Tools

reLocal may use automated systems and artificial intelligence tools to generate, enhance, classify, price, bundle, or optimize listings, including item descriptions, measurements, suggested pricing, images, or categorization.

AI assisted outputs are provided for convenience only and may contain inaccuracies, omissions, or assumptions. Sellers remain solely responsible for reviewing, confirming, correcting, and approving all listing information prior to sale and for updating any information that becomes inaccurate.

reLocal is not responsible for inaccuracies, misclassifications, pricing suggestions, or errors in AI assisted content that was made available to the Seller for review or correction.

5.3 Prohibited Items and Content

Listings may not include illegal, stolen, counterfeit, hazardous, unsafe, or otherwise prohibited items or content. Sellers may not knowingly list items that are subject to a manufacturer, retailer, or governmental recall, or that are otherwise unsafe for use.

reLocal does not independently verify recall status or product safety and makes no representations regarding the safety of listed items. reLocal reserves the right to remove listings or content, suspend Seller access, or cancel transactions that violate these Terms or Platform standards.

6. Buyer Terms

Buyers agree to:

  • Review listings carefully before purchase
  • Make timely payment through the Platform
  • Coordinate and complete pickup as scheduled
  • Inspect items at pickup and raise issues immediately
  • Treat Sellers and Seller property respectfully during pickup
  • Follow reasonable pickup instructions

Buyers acknowledge that item pickup may occur at a private residence or other non-public location. Buyers assume all risk associated with entering the pickup location, loading items, and transporting purchased items. To the fullest extent permitted by law, reLocal and the Seller are not responsible for any injury, accident, loss, or damage to persons or property that occurs during or in connection with pickup, loading, or removal of items, except where caused by gross negligence or willful misconduct.

Sales tax is the responsibility of the Buyer and is assessed based on the pickup location where required by law.

7. Agent Referrals and Verification

  1. Agent Confirmation - The referring agent confirms they are a licensed real estate professional in good standing and have a relationship with the Seller associated with the property.
  2. Authority Confirmation - The agent confirms that, to the best of their knowledge, the Seller has the authority to sell the furnishings listed on the reLocal Platform. The agent is not required to independently verify ownership, provenance, or authority beyond their professional relationship with the Seller.
  3. Verification Waiver - Based on agent confirmation, reLocal may waive Seller Sign-Up verification requirements, in whole or in part.
  4. No Agency or Liability - An agent's referral, participation, or use of the Platform does not create an agency, partnership, joint venture, or employment relationship with reLocal. An agent is not an agent of reLocal and has no authority to bind reLocal in any manner. A Seller may elect to grant an agent administrative access within the Platform or request that an agent perform certain tasks on the Seller's behalf. Any such actions, if accepted by the agent, are performed at the Seller's direction and for the Seller's benefit. Granting administrative access or delegating tasks to an agent does not transfer responsibility for Seller performance, item condition, listing accuracy, pickup execution, or transaction outcomes. Seller remains solely responsible for all representations, obligations, and compliance under these Terms, regardless of whether an agent is involved. reLocal does not supervise, direct, or control Sellers or agents and is not responsible for the acts or omissions of Sellers or their agents.
  5. Right to Revoke - reLocal reserves the right to revoke Seller approval if agent-provided information is found to be inaccurate or misleading.

8. Seller Terms

This Section Applies to All Sellers

8.1 Priority of Seller Terms

This Seller Section governs Seller obligations, listing operations, service tiers, fees, fulfillment requirements, and Seller conduct. In the event of any inconsistency between this Seller Section and other provisions of these Terms, this Seller Section controls with respect to Seller related matters.

8.2 Seller Eligibility and Verification

All Sellers must be verified and approved prior to listing items on the Platform. Verification is required to ensure marketplace integrity, item authenticity, and transaction readiness.

Verification may occur through one or more of the following methods, at reLocal's discretion:

  • Direct Seller registration and verification
  • Active or upcoming MLS listing verification
  • Referral from a licensed real estate agent approved by reLocal
  • Property ownership confirmation through public records, including registry of deeds

Seller represents that all verification and onboarding information is accurate, complete, and current. reLocal reserves the right to suspend or revoke Seller access if verification information becomes inaccurate, misleading, or cannot be reasonably confirmed.

8.3 Seller Onboarding

Approved Sellers must complete the reLocal Seller onboarding process, which may collect information related to inventory type, estimated volume, condition, timeline, and preferred level of service. Seller acknowledges that onboarding information is used to determine operational feasibility, service tier assignment, and listing management expectations.

8.4 Service Tiers and Operational Scope

reLocal offers multiple Seller service tiers, including but not limited to:

  • Essential Service
  • White Glove Service

Service tiers define the scope of services provided and applicable fees. Tier details may evolve over time and are described on the reLocal website. Service tiers are designed to align pricing with the expected level of operational effort and support required for a Seller's listings.

Tier Adjustments

If the operational demands of a Seller's listings materially exceed the scope of the selected service tier, reLocal may require a tier change or acceptance of an optional add on service.

Examples of increased operational demands include, but are not limited to:

  • Repeated pricing, availability, or condition disputes
  • Extended or recurring pickup coordination
  • Seller non responsiveness impacting buyer experience
  • Scenarios in which reLocal is effectively performing services substantially similar to a higher service tier

If Seller declines a required tier change or add on service, reLocal may limit services, pause listings, or remove listings that cannot be supported within the selected tier.

8.5 Optional Add On Services

In addition to primary service tiers, reLocal may offer optional add on services, which may include:

  • Buyer communication management
  • Offer negotiation support
  • Pickup coordination assistance
  • Pricing and listing optimization
  • Coordination of donation, removal, or hauling services through third party partners

Acceptance of optional add on services may occur electronically through the Platform or via email and constitutes agreement to the applicable scope of services and associated fees. When an optional add on service is accepted, certain responsibilities may shift from Seller to reLocal for the duration of the add on service, as disclosed at the time of acceptance. reLocal is not obligated to provide services outside the scope of the Seller's selected service tier and any accepted add on services.

8.6 Seller Responsibilities

Seller represents and warrants that they own or are authorized to sell all listed items free of liens or third party claims.

Seller agrees to:

  • Maintain accurate listings and promptly update inaccuracies
  • Keep items in substantially the same condition while listed
  • Make sold items available for pickup as scheduled
  • Respond to reLocal communications within forty eight hours unless otherwise agreed

Living Environment and Condition Standards

Seller represents that listed items originate from a smoke free living environment.

Seller further represents that items have not been knowingly exposed to conditions that would materially affect usability, safety, or marketability, including but not limited to pet damage, persistent odors, mold, moisture, or other environmental contaminants.

reLocal reserves the right, in its discretion, to decline, remove, or restrict listings that do not meet Platform condition or living environment standards.

Seller may remove listings at any time prior to sale, subject to fulfillment of existing orders.

8.7 Listing Windows, Flexibility, and Guardrails

Each listed item or collection may have an associated listing window indicating availability for purchase. Listing windows are flexible and may be extended, shortened, paused, or modified by the Seller at any time.

Seller acknowledges that any orders placed by Buyers that selected a specific listing window or pickup timeframe prior to modification must be honored.

To maintain marketplace integrity, reLocal reserves the right to require removal, relisting, or repricing of items that remain listed for extended periods without meaningful activity or that no longer align with the Seller's stated transition timeline.

reLocal does not guarantee that any item will sell within a listing window.

8.8 Listing Promotion and Advertising

reLocal may promote Seller items through advertising, marketing, or promotional channels to support visibility and sell through. Promotional activity may include the use of item images, descriptions, pricing, or availability information, but all transactions will occur exclusively through the reLocal Platform.

reLocal will not publish or disclose Seller names, contact information, precise property addresses, or other personally identifiable information in connection with promotional activities.

Promotional channels may include third party platforms or services, but such promotion is for advertising purposes only and does not enable transactions outside the Platform.

reLocal does not guarantee placement, reach, or performance of any promotional activity and may modify, pause, or discontinue promotion at any time.

8.9 Offers, Sales, and Finality

All offers, payments, and transaction related communications must occur through the Platform. Buyers are expected to inspect items at pickup.

If an item is materially different from its listing description or condition at pickup, the Buyer may decline the item and notify reLocal immediately.

Once Seller confirms that an item has been picked up, accepted, and removed, the transaction is final and not eligible for return or refund.

Seller may not cancel, withdraw, or refuse to fulfill a completed sale or accepted offer by terminating their account or discontinuing use of the Platform.

reLocal reserves the right to cancel or modify a transaction prior to pickup where necessary to protect buyer experience, address item availability or condition issues, or resolve operational constraints.

8.10 Pickups, Buyer Conduct, and No Shows

Buyers are expected to behave respectfully during pickup and to treat Seller property with care.

If a Seller fails to make an item available at the scheduled pickup time, reLocal may coordinate an alternate pickup or cancel the transaction.

If a Buyer fails to appear for a scheduled pickup without notice, responsibility remains with the Buyer. reLocal may attempt to facilitate rescheduling at its discretion.

Unsold items remain the property and responsibility of Seller.

8.11 Payments, Fees, and Interim Payouts

Service fees apply only to sold items and are based on the Seller's service tier and any accepted add on services.

Seller payouts are issued following pickup confirmation.

For Sellers with listings spanning multiple phases, homes, or extended timelines, reLocal may issue interim payouts for completed transactions prior to the conclusion of all listings.

Payments may be processed on a batched basis rather than per item.

Unless otherwise disclosed, payouts are typically issued within two to five business days following pickup confirmation or the applicable payout batch.

Sellers are not responsible for collecting or remitting sales tax through the Platform unless required by law.

8.12 Donation Assistance and Unsold Items

For items that do not sell, donation assistance may be available depending on the Seller's selected service tier.

White Glove Service

For Sellers enrolled in the White Glove Service, reLocal may coordinate donation of unsold items through third party donation partners. Coordination may include scheduling, communication, and logistical planning.

reLocal does not take ownership, possession, or custody of donated items and does not perform transportation, hauling, or physical removal services unless expressly disclosed and agreed in writing.

Essential Service

For Sellers enrolled in the Essential Service, reLocal may provide information regarding local donation options operating in the Seller's area. Sellers are responsible for arranging and completing donation of unsold items.

Donation services are provided by independent third parties. reLocal does not guarantee availability, acceptance, scheduling, or performance of any third party donation services and is not responsible for acts or omissions of such parties.

9. Delivery and Third Party Services

reLocal does not provide delivery, moving, hauling, or shipping services at launch.

reLocal may in the future partner with or facilitate access to third party service providers for delivery, moving, hauling, or related services.

Any such services will be provided by independent third parties and may be subject to additional terms, disclosures, or agreements.

reLocal is not responsible for the acts or omissions of third party service providers.

10. Disputes and Reporting

Users should attempt to resolve disputes directly. reLocal may assist at its discretion.

Fraudulent activity may result in account suspension, payment holds, or cooperation with law enforcement.

11. Fees

Fees may include transaction fees, service fees, or subscription fees. Fees are disclosed prior to use and are non refundable except where required by law.

12. Intellectual Property

The Platform and its content, excluding user generated content, are owned by reLocal.

Users are granted a limited, revocable license to use the Platform in accordance with these Terms.

13. Prohibited Conduct

Users may not engage in fraud, harassment, impersonation, fee avoidance, or violations of law or these Terms.

14. Disclaimers and Limitation of Liability

The Platform is provided as is and as available.

reLocal is not responsible for transactions or interactions between users.

To the maximum extent permitted by law, reLocal's total liability shall not exceed the greater of amounts paid to reLocal in the prior twelve months or one hundred dollars.

15. Indemnification

Users agree to indemnify and hold harmless reLocal from claims arising from use of the Platform, content submitted, or transactions conducted.

16. Arbitration and Class Action Waiver

Disputes shall be resolved by binding arbitration administered by the American Arbitration Association.

Users waive the right to participate in class or representative actions.

Opt out is available within thirty days by contacting legal@relocal.ai.

17. Privacy

Use of the Platform is governed by the reLocal Privacy Policy.

18. Termination

Users may terminate accounts at any time.

Termination does not relieve obligations related to completed or pending transactions.

19. Governing Law

These Terms and any disputes arising from them are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

20. General Provisions

These Terms constitute the entire agreement between you and reLocal.

If any provision is unenforceable, the remainder remains in effect.

No partnership, agency, or joint venture relationship is created.
